Swedwise SaaS Platform - Pricing Framework

1. Purpose

This document defines the overall pricing framework and commercial model for the Swedwise SaaS platform. It establishes the principles, structure, and terms that apply across all platform components and services, ensuring consistency, transparency, and alignment with Swedwise's business objectives.

This framework serves as the foundation for all component-specific pricing addendums and customer quotations.

2. Scope

This pricing framework applies to:

  • All SaaS services delivered on the Swedwise SaaS platform
  • Standard subscription packages and professional services
  • Contract terms, payment schedules, and discount structures
  • License management and modification procedures

Component-specific pricing details are documented in separate pricing addendums (e.g., SW-SAAS-PRC-COMP-001 for Communications, SW-SAAS-PRC-COMP-002 for Notifications).

3. Pricing Philosophy

3.1 Value-Based Pricing

Swedwise's pricing is designed to align with the value delivered to customers:

  • Predictable Costs: Fixed monthly or annual subscriptions enable accurate budgeting
  • Scalable Growth: Pricing grows with customer usage and value realization
  • Transparent Structure: Clear breakdown of all cost components
  • Fair Usage: Consumption-based elements reflect actual resource utilization

4. Pricing Model Structure

The Swedwise SaaS pricing model consists of four primary components:

Total Cost = Base Platform Fee + Component Subscriptions + Transaction Fees + Professional Services

4.1 Base Platform Fee (Mandatory)

The foundation subscription that all customers must maintain.

What's Included:

  • Access to the Swedwise SaaS platform infrastructure
  • Swedish data center hosting with ISO 27001 certified facilities
  • Platform security, monitoring, and availability management
  • Core support services (L1 support during business hours)
  • Quarterly status meetings and service reports
  • Platform upgrades and maintenance (within maintenance windows)
  • Basic backup and disaster recovery (7-day retention)

Billing:

  • Monthly or annual billing cycles available
  • Annual billing: 10% discount applied
  • Minimum commitment: 12 months

4.3 Transaction/Volume Pricing

Usage-based fees for consumption beyond included volumes.

Volume Tier Structure:

  • Included volumes in subscription (no additional charge)

  • Tier 2: High usage (further discounted rate)
  • Tier 3: Very high usage (volume pricing)

Committed vs. Pay-As-You-Go:

  • Committed Volume: Pre-purchase transaction volumes at discounted rates
  • Pay-As-You-Go: Pay per actual transaction (standard rates)
  • Overage on committed volumes charged at standard rates

4.4 Professional Services

One-time and ongoing services to support customer success.

5. License Management

5.1 User License Types

Named User License:

  • Assigned to a specific individual
  • 1 unit = 1 named user
  • User can access system at any time

Concurrent User License:

  • Shared among multiple users
  • 2 units = 1 concurrent user session
  • Suitable for shift-based or occasional users

5.2 Adding Licenses

Customers may add licenses at any time:

  • New licenses added mid-term are pro-rated to next renewal date
  • Added licenses automatically renew at the end of their term
  • No setup fee for license additions
  • Changes effective within 2 business days

5.3 Reducing Licenses

License reductions require advance notice:

  • Notice Period: 90 days prior to renewal date
  • Reductions take effect at the next renewal date only
  • No mid-term license reductions permitted
  • Minimum license counts may apply (see component addendums)

5.4 License Flexibility

Customers can reallocate license units between named and concurrent:

  • Changes allowed quarterly with 30 days notice
  • Conversion ratio: 1 named user = 2 units, 1 concurrent = 2 units
  • Changes processed within 5 business days
  • Administrative fee may apply: [TBD] SEK per change request

6. Payment Terms

6.1 Invoicing Schedule

Monthly Subscriptions:

  • Invoiced monthly in advance
  • First invoice includes pro-rated charges if mid-month start
  • Subsequent invoices sent on the 1st of each month
  • Payment due within 30 days of invoice date

Annual Subscriptions:

  • Invoiced annually in advance
  • 10% discount applied to annual total
  • Payment due within 30 days of invoice date
  • Option to split payment into quarterly installments (no discount)

Transaction/Usage Fees:

  • Invoiced monthly in arrears based on actual usage
  • Combined with monthly subscription invoice
  • Detailed usage report included with invoice

Professional Services:

  • Onboarding project: 50% upon contract signing, 50% upon completion
  • Consulting services: Invoiced monthly based on time sheets
  • Service Maintenance Agreement: Invoiced quarterly in advance

6.2 Payment Methods

Accepted payment methods:

  • Bank transfer (preferred method)
  • Autogiro (direct debit) for recurring subscriptions
  • Credit card (for international customers)

6.3 Late Payment

  • Grace Period: 15 days after due date
  • Reminder Fee: [TBD] SEK per reminder
  • Late Interest: Swedish standard late interest rate (Räntelagen)
  • Service Suspension: Services may be suspended 30 days after due date
  • Collection: Unpaid invoices sent to collection after 60 days

6.4 Currency

  • All prices quoted in Swedish Kronor (SEK)
  • International customers: EUR pricing available upon request
  • Exchange rates: Fixed at contract signing for contract duration

7. Contract Terms

7.1 Minimum Commitment

Initial Term:

  • Standard minimum: 12 months
  • Enterprise contracts: Negotiable 24-36 months
  • Month-to-month available after initial term (20% premium)

Renewal Terms:

  • Contracts auto-renew for equivalent periods unless canceled
  • 90-day notice required for non-renewal
  • Renewal pricing may be adjusted (see section 11)

7.2 Service Commencement

  • Services begin on the "Go-Live Date" specified in contract
  • Go-Live Date typically 2-4 weeks after contract signing (includes onboarding)
  • Early access to development environment available during onboarding
  • No charges apply until Go-Live Date

7.3 Cancellation Terms

Customer Cancellation:

  • 90-day written notice required prior to end of current term
  • Notice must be sent to: [cancellation email/portal]
  • No refunds for unused portions of prepaid periods
  • Data export available for 30 days post-cancellation (see section 7.4)

Swedwise Cancellation:

  • Swedwise may terminate for breach after 30-day cure period
  • Immediate termination for non-payment after 60 days overdue
  • Refund of prepaid unused services in case of Swedwise-initiated termination

7.4 Data Export and Retention

Upon cancellation:

  • Customer data available for export for 30 days post-termination
  • Export format: Standard formats (XML, JSON, CSV as applicable)
  • Data export request must be submitted in writing
  • After 30 days, all customer data permanently deleted
  • No data recovery possible after deletion

8. Discount Structure

8.1 Volume Discounts

Applied to component subscription fees:

  • Discounts calculated on total annual recurring revenue (ARR)
  • Professional services excluded from discount calculation
  • Discounts applied at renewal if thresholds crossed

8.2 Multi-Year Commitment Discount

Incentives for longer commitments:

  • Multi-Municipality: Additional 5% discount for inter-municipal collaborations
  • Educational Institutions: 10% discount for universities and colleges
  • Non-Profit Organizations: Case-by-case evaluation

10. Price Adjustments

10.1 Annual Price Review

Swedwise reserves the right to adjust pricing annually:

  • Review Date: On contract renewal date
  • Adjustment Factors: CPI (Consumer Price Index), infrastructure costs, vendor license costs
  • Maximum Increase: 5% per year (unless extraordinary circumstances)
  • Notification: 90 days advance notice of any price changes

10.2 Notification Requirements

Price adjustment notifications include:

  • New pricing effective date
  • Detailed breakdown of changes
  • Justification for increases (if any)
  • Customer option to cancel per section 7.3

10.3 Mid-Term Adjustments

Mid-term price increases only permitted for:

  • Force majeure events affecting infrastructure costs
  • Regulatory changes requiring significant platform changes
  • Vendor licensing changes beyond Swedwise control

All mid-term adjustments require:

  • 90 days advance notice
  • Detailed justification
  • Customer option to terminate without penalty
